These Terms of Service ("Terms") govern your access to and use of our website, services, and communications, including phone calls, SMS/text messages, and automated communications delivered or managed via the GoHighLevel (GHL) platform. By using our services, submitting information, or providing a phone number, you agree to these Terms and the policies referenced herein.

3. Services and Eligibility
We provide funding and related services (including application assistance, account management, and customer support). By using our services you represent that you are at least 18 years old and have authority to engage our services for the entity or personal accounts you submit. We do not guarantee funding approvals, timelines, or specific outcomes; results depend on third-party lenders, your information, and other variables.

4. Account, Applications, and Documentation
To apply for funding or otherwise use our services you must provide accurate and complete information. You authorize us to verify any information you provide and to communicate with third parties (e.g., lenders, credit reporting agencies) as necessary to deliver services. You agree to promptly update us if your information changes.

5. Fees, Payments, and Refunds
Our fees, payment schedules, and refund policies are described in the service agreement or proposal you sign. Unless otherwise specified in your written agreement, all fees are non-refundable after the initiation of services. Any promotions, discounts, or payment plans will be detailed in your contract.

6. Phone, SMS/Text, and Automated Communications (A2P/TCPA Compliance)

a. Consent to Communications. By providing your phone number, checking an opt-in box, or otherwise providing written or electronic consent, you expressly consent to receive automated and non-automated calls, SMS/MMS messages, and other electronic communications from Drought Proof LLC, its affiliates, and service providers at the telephone number you provide, including messages sent using an automatic telephone dialing system (ATDS), prerecorded or artificial voice messages, and automated text messages, for marketing, servicing, account, transactional, and informational purposes. Consent is not a condition of purchase. You affirm that you are authorized to provide the phone number you submit.

b. Message Examples & Frequency. Messages may include application status updates, funding offers, appointment reminders, account notices, promotions, and other service-related communications. Message frequency may vary depending on your activity and service enrollment. Typical sample messages will include the Company name and an opt-out keyword (e.g., "Reply STOP to opt out").

c. Third-Party Processing (GHL). We use GoHighLevel (GHL) and other trusted vendors to send and manage messages and automations. By consenting you acknowledge those service providers may process your contact information as necessary to deliver messages on our behalf pursuant to our privacy policy.

d. Message and Data Rates. Message and data rates may apply. You are responsible for any charges assessed by your mobile carrier.

7. Opt-Out and HELP Instructions (Required)
You may opt out of receiving SMS messages at any time by replying with one of the following keywords to any message: STOP, CANCEL, UNSUBSCRIBE, END, or QUIT. After we process your opt-out request we may send a single confirmation message, and you will receive no further marketing texts unless you re-enroll. For assistance, reply HELP or contact us at [email protected] or (888) 594-5004. We will process opt-out/HELP requests promptly and, in any event, within 24–48 hours of receipt.

8. Do-Not-Call and Internal DNC List
We honor the National Do Not Call Registry and maintain an internal Do-Not-Call list. If you are registered on the DNC list and have not provided express written consent to receive marketing calls, we will not place marketing calls to your number. We will also honor any request to be added to our internal DNC list.

9. Recordkeeping and Consent Evidence
We retain records of opt-in consents, form submissions, message transcripts, and communication logs to demonstrate compliance with the TCPA, A2P requirements, and other applicable rules. You agree that our electronic records and logs are admissible evidence of consent and communications.

10. Automated Dialers and Manual Calls
We may use automated dialing systems where lawful and where we have obtained the necessary prior express consent. If you have not provided such consent, we will not place automated telemarketing calls to your number but may place manual calls for permitted purposes.

11. Data Privacy and Cookies
Our use of personal data, including cookies and tracking, is governed by our Privacy Policy available at https://droughtproofcredit.com/privatepolicy-page. By using our services, you consent to the practices described in that policy.

12. Prohibited Conduct
You must not use our services for fraudulent or unlawful purposes or provide false information. We reserve the right to suspend or terminate services if we reasonably suspect abuse, fraud, or violation of our Terms.

Our aggregate liability for direct damages is limited to the total fees paid to us under the applicable service agreement in the twelve (12) months preceding the claim (except where prohibited by law).

You agree to indemnify and hold Drought Proof LLC and its affiliates, officers, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of our services.

17. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. You agree that any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, unless otherwise agreed in a written service agreement.

18. Changes to Terms
We may update these Terms at any time. We will post the updated Terms on our website with a revised effective date and, where required, provide notice by email or other means. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

19. Severability and Waiver
If any provision of these Terms is held invalid, the remaining provisions will remain in full force. Our failure to enforce a right or provision does not constitute a waiver of that right.
